Submission Release

In consideration for review, evaluation and purchase consideration of my properly-formated and professionally-written screenplay, I, the undersigned writer or authorized agent ("Writer" or "Agent"), am hereby submitting to dNa DevelopMent (the "Company") my literary property entitled ("Material").

I realize that your Company is engaged in the evaluation and development of literary material and, as such, is likewise engaged in the search for material and literary properties and the development of ideas, stories and suggestions for exploitation in any and all entertainment media which said evaluation and development necessitates. Such material, ideas or suggestions may relate to format, theme, characterizations, treatments and/or means of exploiting a production based on such ideas and suggestions once completed. As a result, I recognize you will not discuss ideas, scripts, treatments, formats or the like submitted to you by persons not in your employ without first obtaining the agreement of the person submitting same to the provisions of this letter.

I hereby acknowledge as follows:

1. I have read and meet all qualifications for submission found under Employment Opportunities, Screen Writers and agree to submit utilizing the proper formats, protocols and passwords, if any.

2. I warrant that I am the sole owner and author of the Material and that I have the full right and authorization to submit the Material to you; that I have the exclusive right to grant all rights in the Material; that I have exclusive rights in the title as regards its use in connection with the Material.

3. I agree that you will not use the Material unless you shall first negotiate with me compensation for such use, but I understand and agree that your use of material containing features and elements similar to or identical with those contained in the Material shall not obligate you to negotiate with me nor entitle me to any compensation if you can reasonably demonstrate that you have an independent legal right to use such other material which is not derived from me (either because such features and elements were not new or novel, or were not originated by me, or because other persons have submitted material containing similar features and elements not derived from me which you have the right to use).

4. I understand that the nature of a "virtual movie studio" requires that my literary property may have to be sent over the Internet to various employees, independent contractors or volunteer Readers with the Company and I authorize this, and indemnify the Company, provided the Company ensures me that the Material is under password protection, and it does make such assurance, and any passwords or literary properties of other writers, if any, that come into my custody or awarness I will keep confidential.

a) If for any reason, or at any time one of my sreenplays is placed on the Readers' Shelf and I do not want it there, I will inform the Head Reader immediately and he/s will removed it. However, if such request is made for removal, dNa shall be under no further obligation to consider the screenplay for option, purchase or further development activity.

b) I acknowledge that, although the Company is taking all security precautions it deems appropriate, no assurance can be given that such security cannot or will not be breached, and I agree that by makeing this submission I will indemnify the Company hereby.

5. I agree that I must give you written notice by certified or registered mail at your address as set forth in the address portion of this letter, of any claim arising in connection with said Material or arising in connection with this agreement, within sixty [60] days after I acquire knowledge of facts sufficient to put me on notice of any such claim, as an express condition precedent to the initiation of any legal action hereunder. I shall further withhold filing any legal action for a period of sixty [60] calendar days after said written notice to allow you time to investigate any claim.

6. I have retained a copy of said Material and I release you from any liability for loss or other damage to the copy I sent to you. If you find the Material without merit, you will return it to me within sixty [60] calendar days of the submission date (provided I send a SASE with my submission), or destroy it completely (i.e., any electronic or physical copy of it.) The Company, however, reserves the right to keep Material on the Reader's Shelf for as long or short of a period as it deems necessary, unless it receives specific written instructions or a verifiable, bonefide email from the Writer or Copyright Owner (or its authorized agent) to remove same from the Reader's Shelf.

7. I hereby state that I have read and understand this agreement; that no oral representations of any kind beside your acceptance to read the Material have been made to me; that there are no prior or contemporanous oral agreements in effect between us pertaining the said Material; and that this agreement states our entire understanding. This agreement shall at all times be construed so as to carry out the purposes stated herein.

8. I further submit that I am of legal age, being over eighteen (18) years of age, and by clicking on the below button, hereby agree and acknowledge that this Submission Release is binding.

9. I will not divulge any passwords or documents which may come into my possession at any time unless authorized in writting by the Company.
