Submission Release I ("Writer") have requested the opportunity to submit to dNa DevelopMent ("dNa" or the "Company") a feature-length screenplay in consideration for review, evaluation, promotion and possible purchase or sale as set forth in the Option Agreement I have executued. I realize that your Company is engaged in the evaluation and development of literary material and, as such, is engaged in the search for other literary properties and the development of stories and ideas for exploitation in all entertainment media. Such stories and ideas may relate to format, theme, characterizations, treatments and/or means of exploiting a production based on same once completed. As a result the Company hereby represents and Writer recognizes that it will not discuss any ideas, scripts, treatments, formats or the like submitted to it by persons not in the Company's employment. I hereby acknowledge as follows: 1. that I have read and meet all qualifications for submission set forth by the Company and agree to submit a professionally-written Screenplay utilizing the proper formats, protocols and passwords, as specified. 2. that the Company's use of other writer's literary properties may contain features and elements similar to or identical with those contained in my literary Property and as such shall not entitle me to any compensation beyond that which is stipulated in the Option Agreement. 3. I understands that the nature of a "virtual movie studio" may require that my literary Property may be transmitted over the Internet to various employees, independent contractors or (volunteer) Readers connected with the Company and I hereby authorize such transmittal. The Company hereby assures me that it will use its best efforts to provide for the security of my Property under password protection and I assure the Company that any passwords or actual literary properties of other writers that come into my custody or awareness, if any, I will keep confidential. a) If for any reason, or at any time my literary Property is placed on the Readers' Shelf and I do not want it there, I understand that I may have it removed by sending such request in writing to the Company and same will be removed immediately. However, if I make such request for removal, your Company retains the right to terminate the option on my literary Property and shall be under no further obligation to me in any way whatsoever. b) I acknowledge that, although the Company is taking all security precautions it deems appropriate, no assurance can be given that such security cannot or will not be breached, and I agree that, by making this submission, I will indemnify the Company hereby. 4. I warrant that I have retained a copy of my literary Property and release dNa from any obligation to return same to me whether or not my Property is under option by the Company or not. The Company, however, reserves the right to keep my literary Property on the Reader's Shelf for as long or short of a period as it deems necessary, unless it receives specific written request (or email) from the me to remove same from the Reader's Shelf. If however the Company or I elect to discontinue the Option dNa hereby agrees to destroy any and all physical or electronic copies of my literary Property within a reasonable amount of time. 5. I represents and warrant that I am of legal age to enter into this Release as well as the Option Agreement as governed in the appropriate jurisdiction and that I will not divulge any passwords or documents which may come into my possession at any time unless authorized in writing by the Company. 6. Upon executing the Option Agreement and submitting my literary Property I warrant that I have printed out a copy of this document and agree to its terms.
