The Deal

Matrixx Internet Distribution will exhibit your film at one of our portal exhibition websites for which it qualifies and instantly deliver to you 100% of the gross proceeds of each downloaded or streamed movie as, and when, it occurs. You then remit to us a 25% distribution fee from these proceeds at the end of each quarter.

We will either host your film on our servers ("Hosting") or simply display a URL for your film which you have elected to host elsewhere (Display").

The annual Display Fee for any length of Show is $75 per year.

After payment of a one-time Uploading Fee (which includes a month of hosting), the monthly Hosting Fee becomes 25% of the Uploading Fee. The one-time Uploading Fee includes all digitizing at the data-rate specified, minor editing/sound work (if needed and requested) and uploading to the selected Exhibition Website on the Internet. The Uploading Fee for various show lengths and data-rates is set forth in the following chart:

Various quantity and promotional discounts are available.


Delivery Requirements

We accept videos on MiniDV, Super VHS, VHS or on CDs as AVI or WMV files. Films sent to us must be accompanied by the Uploading Fee (or have been previously paid for by credit card) and a properly executed copy of the Distribution Agreement. We charge no further fees for either processing or uploading your film to the Internet and you can terminate your contract at any time.


Payments

Since the producer is promptly getting 100% of the gross proceeds of distribution up front, we expect prompt payment of our 25% distribution fee by the end of each quarter and Host or Display fees, as applicable, on the anniversary of the date distribution services commenced. We may, at our discretion, extend a grace period, but after that we retain the right to terminate services until and unless all outstanding fees are brought up to date.

All parties to the gross proceeds transaction will receive, by email, a duplicate receipt indicating what movie was downloaded, when it was downloaded, the price paid and all credit card data.


Exposure

By hosting your movie, video, show or feature with us you are able to expose your work to a potential market of approximately 25 million broadband moviegoers and 500 million regular Internet surfers. We anticipate the broadband market will continue to grow in the next 5 years at the rate of at least 98% per year.

The terms set forth in the Distribution Agreement prevail over this page entitled "The Deal."
